If at any time you do not agree to these Terms, please do not access or use the Sites or any of their content. Your access to, use of and browsing of the sites and their contents is subject to these Terms, Spasora’s privacy statement and all applicable laws and regulations. If you do not agree to these Terms, your permission to access or use the site is automatically and immediately revoked.
These Terms may be revised or updated from time to time. Accordingly, you should check the Terms regularly for updates. Each time you access, use or browse the Sites, you signify your acceptance of the then-current Terms. Any material changes in these Terms take effect upon posting and apply only to your use of the Website and information collected from you on and after the Last Revised date, unless we have other written communications with you.
Spasora may make changes to the Sites, content, services or features of the Sites at any time. You understand and agree that Spasora may discontinue or restrict your use of any Site at any time for any reason or no reason and with or without notice. If you accept or agree to these Terms on behalf of a company, legal entity, association, partnership or other entity, you represent and warrant that you have the authority to bind that Company to these Terms and, in such event, "you", "our" or "user" will refer and apply to that Company. Even if you are using the Site or the Services on behalf of a Company, you agree that you, as an individual, are bound by these Terms and the Privacy Statement.
Your access to or use of certain aspects of the Services or the Sites may be subject to additional terms, conditions, details and specifications, posted to the Sites, or may require you to agree with and accept additional terms and conditions ("Supplemental Terms"). By accessing or using those aspects of the Services or the Sites (or booking such space) you are expressly agreeing to such Supplemental Terms. If there is a conflict between the terms and conditions of these Terms and terms and conditions of any Supplemental Terms, the terms and conditions of the Supplemental Terms will take precedence with respect to your access to or use of those Services or that area of the Site (or booking of such spaces).
The Service is a platform connecting people seeking video production spaces etc ("Guests") to our community of vendors who provide the aforementioned spaces ("Hosts") (Guests and Hosts are "Users", "you" and "your"). Please be advised: Although Spasora administers the Service (including price estimates and comparison features) and allows Guests to search for Hosts on our Site, Spasora is not otherwise a party to the Host services or any other transactions that may take place between Guests and Hosts and is not involved in or responsible for the performance of any services provided by Hosts. Spasora has no control over the performance of any service by Hosts or any claims made by Hosts about the venue or services they may offer, nor does Spasora guarantee or endorse the truth or accuracy of any representations made by Guests, the ability of Guests to provide the venue or services as claimed by Guests (even if through the Service) or the ability of Clients to pay for any venue or services offered by Hosts. Guests and Hosts (and not Spasora) bear all risks and liabilities associated with any Hosts services, venues or other transactions between them. Different sections of the Site and Terms of Service may affect Guests and Hosts differently, so please be sure to read all terms carefully.
2.1 Relationship of Users: All Users acknowledge and understand that Spasora is not an employer, broker, agent or insurer for any Users of the Service. Spasora acceptance of a Host to the Service should not be construed as or otherwise deemed an endorsement or promotion of such Host, and such acceptance is in reliance on the Vendor's representation and warranty to Spasora of the accuracy of information submitted by such Host. As the Service solely provides a platform and tools for Users to communicate with potential transaction partners, any such transactions are made by all Users at each User's own risk.
2.2 Your Registration Obligations: You may be required to register with Spasora in order to access and use certain features of the Service. If you choose to register for the Service, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the Service's registration form. Registration data and certain other information about you are governed by our Privacy Policy. This service is for 18 years old and above who do not need the approval of their parent or guardian.
2.3 Member Account, Password and Security: You are responsible for maintaining the confidentiality of your password and account, if any, and are fully responsible for any and all activities, with or without your knowledge, that occur under your password or account. You will take reasonable precautions to protect against theft, loss or fraudulent use of such password and account. You agree to (a) immediately notify Spasora of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session when accessing the Service. Spasora will not be liable for any loss or damage arising from your failure to comply with this Section.
2.4 Modifications to Service: Access is limited to the version of the Service in Spasora production environment. Spasora reserves the right, at its sole discretion, to modify, add and/or substitute functionally equivalent features in the event of end-of-life or changes to software requirements, or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Spasora will not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.
2.5 General Practices Regarding Use and Storage: You acknowledge that Spasora may establish general practices and limits concerning use of the Service, including without limitation the maximum period of time that data or other content will be retained by the Service and the maximum storage space that will be allotted on Spasora servers on your behalf. You agree that Spasora has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded by the Service. You acknowledge that Spasora reserves the right to terminate accounts that are inactive for an extended period of time. You further acknowledge that Spasora reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.
2.6 Mobile Services: The Service includes certain services that are available via a mobile device, including (i) the ability to upload content to the Service via a mobile device, (ii) the ability to browse the Service and the Site from a mobile device and (iii) the ability to access certain features through an application downloaded and installed on a mobile device (collectively, the "Mobile Services"). To the extent you access the Service through a mobile device, your wireless service carrier's standard charges, data rates and other fees may apply. In addition, downloading, installing, or using certain Mobile Services may be prohibited or restricted by your carrier, and not all Mobile Services may work with all carriers or devices. By using the Mobile Services, you agree that we may communicate with you regarding Spasora and other entities by SMS, MMS, text message or other electronic means to your mobile device and that certain information about your usage of the Mobile Services may be communicated to us. In the event you change or deactivate your mobile telephone number, you agree to promptly update your Spasora account information to ensure that your messages are not sent to the person that acquires your old number.
Please review the Privacy Statement for the Sites, which is incorporated in these Terms. If you do not agree with the Privacy Statement, you are not authorized to use the Sites.
Any Content, as defined below, is made available for your personal, noncommercial use, provided that you may use the Services in connection with a video production. You agree to abide by any posted limitations relating to use, reproduction or dissemination of any Content. Any use of the Sites or Content in any way not expressly permitted by these Terms is prohibited, and may be actionable under the law.
4.1 User Content: You are solely responsible for all code, video, images, information, data, text, software, music, sound, photographs, graphics, messages or other materials ("content") that you upload, post, publish or display (hereinafter, "upload") or email or otherwise use via the Service. The following are examples of the kind of content and/or use that is illegal or prohibited by Spasora. Spasora reserves the right to investigate and take appropriate legal action against anyone who, in Spasora's sole discretion, violates this provision, including without limitation, removing the offending content from the Service, suspending or terminating the account of such violators and reporting you to the law enforcement authorities. You agree that you will use the Service only for lawful purposes and in accordance with these Terms of Service, and specifically will not use the Service to email or otherwise upload any content that (i) infringes any intellectual property or other proprietary rights of any party; (ii) you do not have a right to upload under any law or under contractual or fiduciary relationships; (iii) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (iv) poses or creates a privacy or security risk to any person; (v) constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, "junk mail," "spam," "chain letters," "pyramid schemes," "contests," "sweepstakes," or any other form of solicitation; (vi) is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful racially, ethnically or otherwise objectionable; or (vii) in the sole judgment of Spasora, is objectionable or which restricts or inhibits any other person from using or enjoying the Service, or which may expose Spasora or its users to any harm or liability of any type; interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service; or violate any applicable local, state, national or international law, or any regulations having the force of law; impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity; solicit personal information from anyone under the age of 18; harvest or collect email addresses or other contact information of other users from the Service by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications; advertise or offer to sell or buy any goods or services for any business purpose that is not specifically authorized; further or promote any criminal activity or enterprise or provide instructional information about illegal activities; or obtain or attempt to access or otherwise obtain any materials or information through any means not intentionally made available or provided for through the Service.
4.2 Commercial Use: Unless otherwise expressly authorized herein or in the Service, you agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, resell, exploit, transfer or upload for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.
You acknowledge and agree that, as between Spasora and you, all right, title, and interest in and to the Sites and the Content, including, without limitation, any patents, copyrights, trademarks, trade secrets, inventions, know-how, and all other intellectual property rights, are owned exclusively by Spasora, its subsidiaries, affiliates, licensors, related entities other content providers, and are protected by Nigeria Copyrights, Trademarks, and Designs and Patent Acts, guidelines for the Provision of Internet Service and other applicable laws.
You acknowledge and agree that as between Spasora and you, all content available through the Sites or otherwise presented by Spasora or developed or produced by Spasora in connection with the Services, including, without limitation, text, brands, photographs, documents, graphics, audio, videos, logos, icons, images, media, data, charts, maps, software and other information and materials ideas, proposals, concepts, content, materials, works and deliverables (collectively, the "Content") shall remain the exclusive property of Spasora and Spasora shall retain all rights with respect to same, including, the sole right to implement, use, publish and/or publicly disseminate the Content. You agree that you will not use any Content other than as directed by Spasora, without Spasora's prior written consent. Subject to Spasora's compliance with applicable laws, you hereby grant Spasora a license and right to use and reuse the photographs and recordings taken while shooting solely for its promotional purposes, including, in whole or in part or in any edited or modified form, for display on websites and social media sites designated by Spasora, as well as in promotional emails and newsletters, accessible throughout the world, for such period of time as determined by Spasora. To the extent that any such photograph or recording contains any identifiable person that is a guest or attendee at your video production ("Guest"), you represent and warrant that you will obtain such Guest's consent to use such photographs and recordings taken at the video production for its promotional purposes as specified in the preceding sentence.
6.1 Service Content, Software and Trademarks: You acknowledge and agree that the Service may contain content or features ("Service Content") that are protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Except as expressly authorized by Spasora, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Service Content, in whole or in part, except that the foregoing does not apply to your own User Content (as defined below) that you legally upload to the Service. In connection with your use of the Service you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods. If you are blocked by Spasora from accessing the Service (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address). Any use of the Service or the Service Content other than as specifically authorized herein is strictly prohibited. The technology and software underlying the Service or distributed in connection therewith are the property of Spasora, our affiliates and our partners (the "Software"). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved by Spasora. The Spasora name and logos are trademarks and service marks of Spasora Ltd (collectively the "Spasora Trademarks"). Other Spasora, product, and service names and logos used and displayed via the Service may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to Spasora. Nothing in this Terms of Service or the Service should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of Spasora’s Trademarks displayed on the Service, without our prior written permission in each instance. All goodwill generated from the use of Spasora Trademarks will inure to our exclusive benefit.
6.2 Third Party Material: Under no circumstances will Spasora be liable in any way for any content or materials of any third parties (including users), including, but not limited to, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content. You acknowledge that Spasora does not pre-screen content, but that Spasora and its designees will have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Service. Without limiting the foregoing, Spasora and its designees will have the right to remove any content that violates these Terms of Service or is deemed by Spasora, in its sole discretion, to be otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content.
6.3 User Content Transmitted Through the Service: With respect to the content or other materials you upload through the Service or share with other users or recipients (collectively, "User Content"), you represent and warrant that you own all right, title and interest in and to such User Content, including, without limitation, all copyrights and rights of publicity contained therein. By uploading any User Content you acknowledge and agree that Spasora may use all data inputted into or collected by the Service, including but not limited to data related to Service utilization and User Content, on a historical, aggregated and anonymous basis (collectively, "Aggregate Data") in compliance with applicable laws and Spasora's Privacy Policy to provide the Service and for any commercial purposes, including but not limited to the distribution and provision of the Aggregate Data to other Spasora customers and for the preparation and distribution of benchmarking, research, and/or analytical materials. Aggregate Data shall not identify you as the source of any specific data, pattern or finding, nor shall it include any personally identifiable information of any individual users of the Service. Spasora shall maintain appropriate security measures for all Aggregate Data in accordance with the terms and conditions of these Terms. Spasora will be the sole and exclusive owner of all right, title and interest to such Aggregate Data and, notwithstanding anything to the contrary, shall be free to use and disclose on a world-wide and royalty-free basis the Aggregate Data for its business purposes including, but not limited to, publicizing usage of the Services, providing information on general industry trends, and providing benchmarking data to Spasora customers. You hereby grant and will grant Spasora and its affiliated companies a nonexclusive, worldwide, royalty free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, store, modify and otherwise use your User Content in connection with the operation of the Service or the promotion, advertising or marketing thereof, in any form, medium or technology now known or later developed. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Service ("Submissions"), provided by you to Spasora are non-confidential and Spasora will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you. You acknowledge and agree that Spasora may preserve content and may also disclose content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (i) comply with legal process, applicable laws or government requests; (ii) enforce these Terms of Service; (iii) respond to claims that any content violates the rights of third parties; or (iv) protect the rights, property, or personal safety of Spasora, its users and the public. You understand that the technical processing and transmission of the Service, including your content, may involve (i) transmissions over various networks; and (ii) changes to conform and adapt to technical requirements of connecting networks or devices.
6.4 Copyright Complaints: Spasora respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, you should notify Spasora of your infringement claim via our customer care line or email address in the contact me section.
You may enable or log in to the Service via various online third-party services, such as social media and social networking services like Facebook or Twitter ("Social Networking Services"). To take advantage of this feature and capabilities, we may ask you to authenticate, register for or log into Social Networking Services on the websites of their respective providers. As part of such integration, the Social Networking Services will provide us with access to certain information that you have provided to such Social Networking Services, and we will use, store and disclose such information in accordance with our Privacy Policy. For more information about the implications of activating these Social Networking Services and Spasora use, storage and disclosure of information related to you and your use of such services within Spasora (including your friend lists and the like). However, please remember that the manner in which Social Networking Services use, store and disclose your information is governed solely by the policies of such third parties, and Spasora shall have no liability or responsibility for the privacy practices or other actions of any third-party site or service that may be enabled within the Service. In addition, Spasora is not responsible for the accuracy, availability or reliability of any information, content, goods, data, opinions, advice or statements made available in connection with Social Networking Services. As such, Spasora is not liable for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Social Networking Services. Spasora enables these features merely as a convenience and the integration or inclusion of such features does not imply an endorsement or recommendation.
The Sites may contain advertisements, postings and links to websites operated by other parties. The Sites provide these advertisements, postings and links as a convenience, and your use of other websites is at your own risk. The advertisements, postings and linked websites are not under the control of Spasora which is not responsible for their content or privacy practices. Such advertisements, postings or links or references to other parties' products or services do not imply Spasora's endorsement of information, material, products or services of any other party or any other website. Spasora disclaims all liability with regard to your access to and use of such information, material, products or services or transactions with such linked websites or other parties. You acknowledge and agree that Spasora is not responsible or liable, directly or indirectly, for any damage, loss or other claim caused or alleged to be caused by or in connection with, access to, use of or reliance on any content available on or through any other website or resource.
Spasora reserves the right at any time to modify, suspend or discontinue, temporarily or permanently, the Sites, Content, Services or any portion thereof, with or without notice. You agree that Spasora will not be liable to you or to any third party for any modification, suspension or discontinuance of the Sites, Content, Services, access to the Registered Area or any portion thereof. Spasora reserves the right, at its sole discretion, immediately and without notice, to suspend, discontinue, or terminate your access to the Sites, Content, Services or any portion thereof for any reason, including, without limitation, any breach by you of these Terms. You agree that Spasora shall not be liable to you or any third party for any such suspension, discontinuance or termination.
You agree to indemnify, defend and hold harmless Spasora and its respective officers, directors, shareholders, employees, agents, subsidiaries, partners, members, licensors, licensees, service providers, advertisers, representatives, successors and assigns, and others acting in concert with any of the foregoing, from and against any damage, loss, liability, claim, obligation, demand, actions, suits, costs and expense (including without limitation all reasonable attorney’s fees and expert’s fee and expenses and all other expenses of investigation and defense), judgements or awards of any kind or nature (collectively, ‘’Losses’’) made by you or on your behalf or by any third party due to, arising out of or in connection with any one or more of the following: (A) Your use of or reliance on the sites or any content or services or any portion thereof; (B) You or your event guests/attendees dealings in connection with the Sites, Spasora or any venues, independent contractors, service providers, service partners; vendors, suppliers, subcontractors or other third parties (collectively, ‘’merchants’’) in connection with any event; (C) Your submission(s) or any materials or content you submit or transmit to the sites or to Spasora: (D) Your violation of these terms, or other guidelines of any site, any applicable laws, or the rights of Spasora or any third party and or (E) Any activity related to your use of any restricted area, or any other person accessing the sites, using your account or the services.
11.1 You represent and warrant that you are not located in a country that is subject to Nigeria’s embargo, or that has been prohibited or restricted temporary or permanently.
11.2 Your use of the service is at your sole risk. The service is provided on an ‘’as is’’ and ‘’as available’’ basis. Spasora expressly disclaims all warranties of any kind, whether express, implied or statutory, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
Spasora makes no warranty that (i) The service will meet your requirements, (ii) The service will be uninterrupted, timely, secure or error-free (iii) The results that may be obtained from the use of the service will be accurate or reliable, or (iv) The quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations. The Quality of the vendor services purchased through the use of the services is entirely the responsibility of the vendor who provides such venue or vendor services to client. Client understands and agrees that by using the service, client may be exposed to vendor services and/or venues that are potentially dangerous, unsafe or otherwise objectionable, and that client’s use of the service, and any such vendor services or venue is at client’s own risk.
The sites, the services, all content, and any portion thereof, are provided to you on an ‘’as is’’, ‘’as available’’ basis without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Spasora makes no warranty as to the accuracy, completeness or reliability of any sites, content, the services or any portion thereof. You are responsible for verifying any information before relying on it. Use of the sites, content and services or any portion thereof, is at your sole risk. Without limiting the foregoing, nothing in these terms shall be deemed to be a representation or warranty by Spasora of the safety, suitability, functionality or usefulness of any of the services, the site, the content, or any portion thereof. Spasora makes no representations or warranties that use of the sites will be uninterrupted or error-free. You are responsible for taking all necessary precautions to ensure that any content you may obtain from the sites is free of viruses or other harmful code. To the fullest extent not prohibited by applicable law, Spasora disclaims all liability and obligation shall not have any liability or obligation to you, any of your event guests/attendees or any other person for or on account of (i) Any losses sustained by, or any losses incurred by our assessed or asserted against or imposed upon you, any event guest/attendee or any other person; or (ii) Any consequential, direct, indirect, incidental, special, exemplary or punitive damages or losses of any kind (including lost profits or any interruption of business) whether such claim or action is based in tort, contract, negligence, strict liability, statutory liability or otherwise, even if Spasora has been advised of the possibility of such losses, which in any manner, directly or indirectly, arises out of or relates to or is in connection with the sites, the content, the services, any event, or any other losses incurred by you, any event guest or any other person. Without limiting the foregoing, you acknowledged that Spasora solely arranges for the provision of goods and services from merchants and Spasora does not assume any responsibility for and cannot be held liable for any losses caused by any vendor (iii) The cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iv) Unauthorized access to or alteration of your transmissions or data, (v) Statements or conduct of any third party on the service; If, for any reason, the foregoing limitation is found to be invalid, or unenforceable, you, your event guests/attendees and each other person agrees that the sole and total liability of Spasora shall be limited, in the aggregate, to the net amount retained by Spasora from you for the services provided. The parties each further agree that the foregoing limitation of liability is fair and reasonable under the circumstances and in consideration for the services provided hereunder.
These Terms, your use of the Site or the Services, any transactions conducted thereby, is governed by the Laws of the Federal Republic of Nigeria, without giving effect to its or any other jurisdiction's conflict of law provisions, provided that all matters relating to alternative dispute resolution, shall be referred to and finally resolved by arbitration under the Lagos Court of Arbitration (“LCA”) Rules, which Rules are deemed to be incorporated by reference into this clause.” Any controversy or claim arising out of or relating to these Terms, with the exception of those controversies or claims specifically excluded below, shall be settled by binding arbitration in accordance with the Lagos Court of Arbitration Rules and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The number of arbitrators shall be one and the seat or legal place of arbitration shall be Lagos state. The language to be used in the arbitral proceedings shall be English and the governing law of the contract shall be the substantive law of the Federal Republic of Nigeria. You and Spasora agree that any arbitration shall be limited to the dispute between Spasora and you individually. To the full extent permitted by law, (i) no arbitration shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (iii) there is not right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. You and Spasora agree that the following disputes are not subject to this binding arbitration provision: (i) any disputes seeking to enforce or protect, or concerning the validity of, any of your or Kapow's intellectual property rights; (ii) any dispute related, or arising from, allegations of invasion of privacy or unauthorized use; (iii) any dispute concerning the parties' agreement to arbitrate their disputes hereunder and (iv) any claim for injunctive relief.
